Eugene, Ore.-based Caffe Diva is a chain of drive-through coffee cafes. In October 1997, the company filed a Small Corporate Offering Registration (SCOR) with the Securities Exchange Commission (SEC) in an attempt to raise $1 million, the annual limit that companies can raise through a SCOR offering. According to Ron Davis, a principal of Caffe Diva, the money was needed to expand the companys concept from the Pacific Northwest into national markets.Two years ago, we opened our first kiosk, and by early 1997we had four in Lane County, Oregon, Davis said. But growing into other geographic areas takes money — lots of money. We considered many options. Banks were of little help. Angel investors wanted a substantial stake in the business, board membership, and veto power over expenditures and site selection. We didnt want to turn control over to outsiders. Finally, after investing two years and virtually all of our capital, a DPO (Direct Public Offering) through a SCOR seemed to be a better — and perhaps our only — option.Davis and his partners first learned about the SCOR program by reading a DataMerge advertisement in the Wall Street Journal that read, Do-It-Yourself DPO. Byline: Peter Francese For many Baby Boomers and some of their parents, theres no place like a second home. In fact, one of the hottest segments in real estate is second-home development, in which well-appointed occasional-use or vacation residences typically sell for $300,000 to $1,000,000. Based on our estimate of more than 6 million second homes in this country, spending on these residences exceeds $19 billion a year (a 46 percent increase from 1995). And that total doesnt include the initial costs of buying and furnishing the home. Over the next decade or so, because many Boomers (now 39 to 57 years old) will enter the prime life stage for buying a second home, the high growth rate in spending on such real estate should continue.
After reading about second homes in the March issue (The Good Life, page 76), here are my thoughts about this market. After the tragedy of Sept. 11, 2001, another pattern has become more pronounced. In past years many of our clients building South Carolina vacation homes were from Connecticut, New York, and New Jersey, as well as Boston. Since that terrible day we still see the people in this market building vacation homes, but more of them are doing so closer to home. Our Rhode Island office has seen an increase in vacation home business while our South Carolina office has seen a decrease. Owners would rather drive a few hours to their vacation home than have to fly there. As far as design trends are concerned, the vacation homes we design in Rhode Island ate definitely for the entire family and not just for the husband and wife, which is more common with our Southern projects. The vacation home communities in Rhode Island where weve worked are places that the same families have been going to for decades or generations. In South Carolina the communities are new, and there is not the same sense of attachment to the place or the same sense of community.

As most private companies have year-ends dated end of February, this statement has to be applied to them as from 2003. Who says that it has to be applied? Well, if you go to circular 8/99 you will find that the directors have a free choice. They can either comply with Statements of GAAP or with generally accepted accounting practice, also known as little gaap. If the directors go the big GAAP route, they will have to fully comply with AC135 under penalty of a qualified audit report. If they go the little gaap route, they will have to disclose extensive information in a note to the financial statements setting out why they did not comply with AC135, what they did and what the effect of not complying with the statement was.
ENCOUNTERING risks is a part and parcel of life. For investors, risk management is a significant challenge and a test of inherent patience. Taking calculated risk is the result of effective strategic planning, not of rampant speculation. If we choose to see them for what they are, then investing with a certain amount of risk can be an enriching experience, and I am of the opinion that managed risk can be part of our strategies for long term and profitable investment. I am certain that the countrys positive image of a fast-growing yet stable economy is the driving factor in keeping property and real estate prices within our shores from over-escalating, and this will continue to create an ideal environment for long-term investment opportunities for both local and foreign investors.

She recently successfully completed a motorcycle safety course and is now able to ride street legal motorcycles with the rest of us. She has her learners permit for vehicles, as well as motorcycles. Of course, she wants a car, typical of a kid her age. She is meticulous about her hair and clothes. She loves her music - — all kinds except country — and Seventeen magazine. She aspires to be a model some day.
Sheena Pasko, try as she might, cant get all the grease out from under her fingernails when she goes on a date. That grease comes from the Harley-Davidson motorcycles she works on. Pasko, 20, is a mechanic for Pikes Peak Harley-Davidson. Pasko is part of a growing trend: women on motorcycles.

H UNTING As a human activity, hunting is magnified in its significance by a deceptively simple feature: the evasiveness or resistance exhibited routinely by prey. Because of the behavioral challenges that it presents, hunting has had far-reaching consequences for key aspects of human social, psychological, and cultural life. Since the mid-1960s, for example, anthropologists have argued that hunting may have been a powerful and fundamental force shaping the very nature of cooperation and sharing among early humans.One such claim involves what the behavioral ecologist Bruce Winterhalder calls the risk reduction hypothesis. The failure rate of hunters is notoriously high. Even among experienced, highly skilled subsistence hunters who pursue big game animals, any one hunt is much more likely to result in failure than in success. Studying the Hadza of Tanzania in 1993, the anthropologist Kristen Hawkes reported that when hunting big game, Hadza men failed to make a kill 97 of every 100 days that they hunted. When a large game animal is killed, it often represents a windfall in excess of what any one hunter and his or her immediate family can consume. These circumstances promote reciprocity and sharing among hunters. By sharing the meat provided by a successful kill, a hunter effectively buys insurance against failure in future hunts. When, in the future, he or she fails to kill prey, other successful hunters with whom meat has been shared previously will reciprocate and provide meat to the unsuccessful hunter. The science writer Matt Ridley argues that the cooperation and reciprocity associated with hunting may help constitute the basis of systems of moral and ethical culture. In short, hunting is an activity that promotes cooperation and sharing because it entails the pursuit of a highly valued resource, access to which is unpredictable and risky.

NEW YORK — Anyone whos self-employed knows what a headache it is finding affordable health care coverage for themselves and their workers. Medical savings accounts, or MSAs, were established earlier this year through the federal Health Reform Act of 1996 as sort of an experimental remedy to help control costs. The accounts combine a high-deductible insurance policy with a tax-sheltered savings account that can be used to pay out-of-pocket medical expenses, like routine doctor visits or prescriptions. Over the next four years, up to 750,000 eligible taxpayers — those who run their own business and employees of companies with fewer than 50 employees — may set them up on a first-come, first- serve basis. Response so far has been tempered, despite the programs limited nature and the high praise from both financial and medical practitioners. Only a select group of banks and insurance carriers offer them right now. “Its slower than we would like,” said Dr. William T. Terry, managing partner for American Health Value Medical Savings Account in Boise, Idaho. The company has set up around 2,000 accounts nationwide since January in conjunction with First Federal Savings of Nampa, Idaho. Its goal is to have 100,000. But Terry and others think business will pick up soon as more financial institutions enter the fold and as individuals become more familiar with the concept and numerous perks. “Its a gangbusters plan for anyone who cant count on Medicare or other features of traditional medical planning,” said Robert K. Heady, publisher of Bank Rate Monitor, which is tracking these accounts. “Its a very good idea.” The most appealing part is the tax benefit. Annual MSA contributions are tax-deductible, earn interest tax- deferred and withdrawals tax-free so long as theyre used for medical expenses. Its a little like an individual retirement account — only better. In fact, some financial experts contend MSAs could supplement regular retirement accounts, like IRAs and 401(k) plans. Neither Congress nor the president intended it to be this way, but MSA holders dont even have to use money from the account for their uncovered medical bills. They can keep it there until they retire, and once they turn 65 withdraw the funds for any purpose without being hit with the 15 percent penalty tax the federal government imposes. (Of course, not everyone can afford to do this, unless they never get sick or have other funds to drawn on.) Eclipse MediSave America, an MSA servicing company, calculates that a family making a $3,375 annual MSA contribution (the maximum allowed under federal guidelines), and earning 8 percent interest a year could accumulate $1.4 million in the account over 45 years. Even if they withdraw $1,000 a year, they still would accumulate $991,000, it says. Most MSAs offer rates of return of 4 percent to 5 percent right now, which is still better than the average passbook savings account rate of 2.3 percent and money market account rate of 2.6 percent. American Health Value has 4.5 percent savings rate after a one- time setup fee of $19.25, plus a $2.50 monthly maintenance fee. Another key player, Golden Rule Insurance in Lawrenceville, Ill., affiliated with Northern Trust in Chicago, pays out 5 percent, has a $10 setup fee and $3 monthly maintenance fee. A few accounts offer or plan to offer more aggressive investment opportunities through stocks, bonds and mutual funds, which could yield higher returns. For instance, Mellon Network Services, a division of Mellon Bank in Pittsburgh, says MSA customers eventually can transfer some of their MSA funds into a Dreyfus brokerage account. Financial experts advise individuals to shop around before setting up an account, scrutinizing details of the savings-account portion of the MSA just as they would any other investment or savings plan. Everything else is pretty standard: The deductible on the health insurance policy must be at least $1,500 and no more than $2,250 for individuals and at least $3,000 and no more than $4,500 for families. The maximum annual contribution an individual or his or her employer can make is 65 percent of the deductible. A family has a 75 percent limit.

Increasing the protein concentration of the initial solution made the mats threads thicker; decreasing the concentration made the threads thinner.

The bill is a deliberate attempt to sabotage the future of hunting. Parents, not the government, are far more equipped to know when their sons and daughters are ready to hunt. House Bill 655 has been referred to the House Environmental Matters Committee in Maryland. The devastating effect Sexton mentions not only damages efforts to introduce youngsters to hunting, but it also will impact the states economy.

Local lenders for Washington Mutual Inc. have landed at other companies after the struggling Seattle-based mortgage company said it was closing four offices in Central Pennsylvania. Nationwide, Washington Mutual is closing 100 mortgage offices and laying off 2,500 workers in 17 states. Eighteen were employed in Central Pennsylvania. The company also is shutting down 53 commercial bank branches, idling another 850 workers. None of those branches are in Pennsylvania. Coyne suspected layoffs were on the way, given turmoil in upper management and the slowdown in the mortgage market. Nonetheless, he was surprised by the speed. “They told us we were going to go dark on Monday (July 28),” Coyne said.
The Whitehall team bought the buildings in 2000 from Pivotal Group and William E. Simon Sons Realty for $44.2 million. The three buildings, at 7500 North Dreamy Draw, 7600 North 15th Street and 7600 North 16th Street, are 55% occupied.

Domestic commercial banks reported a further easing of lending standards and terms for commercial and industrial (CI) loans and commercial real estate loans during the prior three months. At U.S. branches and agencies of foreign banks, in contrast, lending standards and terms for these types of loans were little changed during the same period. On net, domestic banks experienced stronger demand for CI loans during the past three months, while foreign institutions indicated that demand for business loans was about unchanged. Both domestic and foreign institutions reported stronger demand for commercial real estate loans, on balance. A notable net fraction of domestic respondents reported stronger demand for loans to purchase homes during the past three months, while a small net percentage of banks also experienced a strengthening in demand for consumer loans. On net, credit standards for residential mortgages and consumer loans were about unchanged in the July survey, but a significant proportion of respondents indicated increased willingness to make consumer installment loans.
Loans are an important part of your business. You want to encourage your loan officers to generate increasing numbers of quality loans for your credit union. If we pay incentives based on the average yield, they would be affecting their incentive by matching rates all the time. This structure would ensure that they offer our posted rates and only match rates when there really is a competitive offer.”
Southwestern Bank and Trust Co. plans to open a loan production office in the Waterford Office Complex this week to boost its presence in north Oklahoma City. That branch “has actually been very successful, and thats the reason for opening this Waterford office — to give us more of a presence in north Oklahoma City,” said Thomas W. Parrish, president and chief executive officer of the bank. Southwestern Bank “has a number of customers out in that area. Our MegaMarket branch was designed to accommodate the loans and deposit needs in that area of Oklahoma City. This (Waterford) office gives us additional room where we can have more of a private banking relationship with our professional and business customers in north Oklahoma City,” Parrish said. The bank will not be allowed to take deposits or close loans at the Waterford office. Customers must go to a branch to do that. The loan production office will focus on business and professional customers, alternative investments and residential mortgages, he said. The banks alternative investment department, in coordination with PrimeVest Inc. of St. Cloud, Minn., will focus on selling annuities and mutual funds. Richard Brodsky, said Pataki was turning a blind eye to workers rights. The measure was unanimously approved by both houses.
Melanie McCabe began working in 1971, but she didnt have a real job interview until two years ago. Lucent Technologies Microelectronics Group claims it has a better approach to the packaging of its new Firewire chip. Last week the company announced a new IEEE1394A FireWire physical layer interface (PHY) chip with a smaller footprint than similar devices on the market. The three-port, IEEE-1394-A-compliant physical layer interface IC, called FW803, is housed in a 64-pin thin quad flat pack (TQFP). The device provides a powerful combination of small size and low power that helps reduce final system costs, he said. Design engineers can use the chip to create new applications for PCs, workstations and consumer electronics; because it dissipates less than 0.6 watts during normal operation, it can further increase design options for portable PCs or other compact, battery-powered systems, Lucent noted. The chip will be sampling in June, and is expected to be generally available during 3Q98. Pricing in quantities of 10,000 will be $5 per unit. Other volume pricing options are also available.
Vicor Corp. has licensed its patented reset technology and related know-how in its power conversion products to Nagano Japan Radio Co., Ltd. (NJRC), a subsidiary of Japan Radio Co., Ltd. (JRC). Metzinger, president and CEO of Nanopierce, said this acquisition makes Nanopierce a revenue-generating company and enhances Nanopierce Particle Technology. Lucent Technologies Microelectronics Group claims it has a better approach to the packaging of its new Firewire chip. Last week the company announced a new IEEE1394A FireWire physical layer interface (PHY) chip with a smaller footprint than similar devices on the market. The three-port, IEEE-1394-A-compliant physical layer interface IC, called FW803, is housed in a 64-pin thin quad flat pack (TQFP). The device provides a powerful combination of small size and low power that helps reduce final system costs, he said. Design engineers can use the chip to create new applications for PCs, workstations and consumer electronics; because it dissipates less than 0.6 watts during normal operation, it can further increase design options for portable PCs or other compact, battery-powered systems, Lucent noted. The chip will be sampling in June, and is expected to be generally available during 3Q98. Pricing in quantities of 10,000 will be $5 per unit. Other volume pricing options are also available.

Promotional Stress Balls
The ball-on-rod rolling contact fatigue (RCF) tester (1) is an element tester which is used to evaluate the RCF properties of materials, primarily steels, for bearing applications. In order to produce test results in a reasonably short period of time, the load imposed on the steel test rods is much higher than that typically experienced in actual bearing applications. The standard test condition, set forth by Glover (2J, results in a calculated Hertzian contact stress of 5.4 GPa. This high contact stress causes plastic deformation of the test rods. In addition to the ball-on-rod RCF Tester, many other accelerated RCF test rigs use high contact stresses to reduce test time. For example, the flat washer tester is operated at a contact stress of 4.1 GPa (3), the Rolling Contact (RC) rig at 5.4 GPa (4) and the Ball on Cylinder rig at 5.9 GPa (5). While these machines and test conditions are widely used, the use of the high stress conditions have been questioned as being too high for correlation to full-scale bearing tests that are commonly in the range of 2 - 2.7 GPa (300 - 400 ksi) (6)-(8). Zwirlein and Schlicht (6) felt that tests performed at high stress levels can lead to improper conclusions on how a material will respond at lower stress levels. The deformation occurring at the higher stress levels was felt to alter the residual stress state of the material and thus, influenced the test results. Lorosch (7) felt the plastic deformation occurring at the higher stress reduced the life exponent, compared to that obtained at lower stresses. Thus, data generated at contact stresses that created plastic deformation could not be compared to that generated at lower contact stresses.

FREMONT — A Newark man was seriously injured Sunday morning in a motorcycle accident on Roberts Avenue near Washington Boulevard. Fremont police said motorcyclist Thomas Reticker, 39, of Newark tried to pass a 2003 Chevrolet Cavalier on the left on Sunday at 2:50 a.m. As Reticker tried to pass, the car made a left turn into a private driveway on Roberts Avenue. Reticker was thrown from his motorcycle, a Suzuki GSXR 1000, after colliding with the rear of the Cavalier, police said, near the Safeway grocery store at Washington and Fremont Boulevards.

A 30-year-old man died early Saturday, and another man was critically injured after a two-motorcycle accident at Circle Drive and Holiday Place. Police identified the man who died as Dwayne Norris. The second man, Steven Sullivan, 37, was in critical condition at a local hospital, police said. The crash happened about 1:30 a.m. The motorcycles appeared to be traveling east on Circle Drive, a witness said, declining to provide more details Saturday. A neighbor who lives next to the crash site said he saw a man lying dead in the street, and the other motorcycle was about 100 yards farther down Circle.
